1. Independent business relationship The merchant is an independent business and is not an employee, partner, or joint venture participant of MMH.
2. Product and operational responsibility The merchant is responsible for product quality, legality, food safety, handling, permits, taxes, inventory accuracy, prep-time accuracy, packaging, and readiness for pickup or delivery handoff.
3. Pricing and order adjustments The merchant must maintain accurate pricing, weights, descriptions, and availability. Where weight-based adjustments are enabled, the merchant may only apply approved adjustments in accordance with MMH rules and customer disclosures.
4. Refunds, chargebacks, and issue attribution MMH may allocate refunds, credits, dispute costs, chargebacks, or operational deductions according to the source of the issue, including merchant error, product quality, inventory mismatch, timing failure, customer fault, or platform goodwill.
5. Commission and payouts Merchant commissions, fees, payout timing, reserves, and reconciliation rules are determined by the current MMH commercial terms. Placeholder for final commercial schedule after legal and finance review: [insert commission and payout schedule].
6. Content license The merchant grants MMH a non-exclusive license to use store names, menus, product descriptions, logos, and images to operate, market, and improve the marketplace.
7. Suspension, ranking, and delisting MMH may limit visibility, reduce ranking, pause orders, delist products, or suspend merchant access for quality concerns, safety issues, legal risk, non-compliance, or repeated operational failures.
8. Cooperation and audit The merchant agrees to cooperate with MMH on recalls, complaints, investigations, documentation requests, and compliance reviews related to orders or marketplace operations.
